This web site is located on a server in the Province of Alberta, Canada, and is provided to you by Central European Petroleum Ltd. ("CEP", "we", or "us" as the context provides). Your access and use of this web site and any other web sites operated or provided by CEP or those sites identified by CEP as being under the direct and sole control of CEP (collectively, the "Sites") are subject to this Terms of Use and Disclaimer, as may be amended from time to time without notice (the "Terms"). If you are dissatisfied with any portion of the Sites or do not agree to these Terms, immediately cease all use of the Sites. From time to time, CEP may revise all or any portion of the Sites, including without limitation, the Terms. Your use of the Sites, or continued use of the Sites, constitutes your irrevocable and unconditional acceptance without modification of the Terms.
The Sites, including, without limitation, any web pages, text, images, sounds, software, documents, and other data or information contained in the Sites (collectively, the "Information"), are provided for general informational purposes only and may only be used for personal, non-commercial use. You may view and print from the Sites for personal, informational, and non-commercial use. You may not otherwise copy, modify, or otherwise use any of the Information without CEP’s prior written consent.
THE INFORMATION CONTAINED IN THE SITES DOES NOT CONSTITUTE A SOLICITATION OR AN OFFERING OF SECURITIES IN ANY JURISDICTION. Information disclosed under corporate or securities legislation of Canadian, U.S. or other jurisdictions applicable to CEP or otherwise, is not intended in any way to be qualified, amended, modified or supplemented by information available in, through or on the Sites. You agree to abide by all additional rules, policies, and restrictions of which you are expressly provided regarding the Sites.
All Information is provided on an "as is", "as-available" and "without any liability" basis, without any representations, warranties or endorsements whatsoever, for informational purposes only and is subject to change without notice. No warranty of any kind, implied, expressed or statutory, including but not limited to warranties as to non-infringement of intellectual property rights or third party rights, title, latent defects, uninterrupted service, merchantability, fitness for a particular purpose and freedom from computer viruses, is given in conjunction with the information, materials and software algorithms included at the Sites.
The Sites content may not always be the most current source for corporate information. CEP makes no commitment and disclaims any duty to update any information on the Sites; therefore, the Information may be inaccurate, out-of-date, or otherwise incorrect. To the maximum extent permitted by law, CEP assumes no liability or responsibility for any such errors, misstatements, omissions or inaccuracies and makes no representations or warranties, explicit or implied, about the accuracy, reliability, completeness, fitness for a particular purpose, merchantability, non-infringement, or timeliness of the Information.
For your convenience the Sites may contain links to third party web sites. Also, links to the Sites may be provided from other sites with or without CEP’s knowledge. Because the linked sites are not related to or under the control of CEP, you understand and agree that CEP is not responsible for the availability of such web sites and that CEP does not endorse and is not responsible or liable for any content, advertising, products, or other materials or for the privacy practices of any web site or resources that is linked to or from the Sites except for the Sites. Accordingly, your use of third party web sites is entirely at your own risk and you are responsible for viewing and abiding by the privacy statements and the terms of use on any linked site. CEP will promptly remove any link from the Sites upon request from a linked entity.
CEP reserves the right to change any aspect of the Sites including the right to refuse or to remove any content, whatever the source, at any time without any notice or liability to you and such changes or updates will be effective immediately. By browsing the Sites you are accepting that you are bound by the then current Terms and so you should check the Terms each time you revisit the Sites.
Unless otherwise agreed in writing by CEP, any information or materials sent to the Sites will become the property of CEP and will be treated as NOT CONFIDENTIAL. CEP may collect and maintain statistics, including IP addresses, about visitors to the Sites in order to track the total number of visitors to the Sites and to specific parts of the Sites. CEP also may use IP addresses to more clearly determine how visitors travel to, through and among the Sites to help improve various components of the sites, including flow and content.
CEP may use any information or materials sent to the Sites for any purpose whatsoever and all information provided by you to CEP through the Sites becomes the exclusive property of CEP, and you expressly consent to the use of all such information, including, without limitation, the use of personal information, as provided below.
CEP may disclose your personal information as follows:
CEP will not use or disclose personal information for purposes other than those for which it was collected, except with your consent or as required or as permitted by law. However, it is possible that any information transmitted via the internet may be intercepted by unknown third parties. By using the Sites, you agree to such personal information being so used and that it may be transmitted to others as stated in these Terms.
The Sites are owned and controlled by CEP. All material found in the pages of the Sites is protected under the copyright laws of Canada and of other countries. Certain names, words, titles, phrases, logos, icons, graphics or designs in the pages of the Sites may constitute trade names, trademarks or service marks of CEP or its affiliates or related entities, or the use of which may have been licensed to them. The display of trademarks, trade names or service marks on pages at the Sites does not imply that a license of any kind has been granted to anyone else.
You are responsible for obeying all applicable copyright laws. We permit you to make copies of and download information on the Sites during your viewing of it and you may print so much of the site as is reasonable for your private and personal, non-commercial use. All other use is strictly prohibited.
Any unauthorized downloading, re-transmission, re-publication or other copying or modification of material posted on the Sites, including (without limitation) trade names, trade-marks, and service marks, may violate federal, common or civil law, trade-mark law and copyright law, and may result in legal action.
You may not frame the Sites or link to a page other than the home page without our express permission. We reserve the right to remove our permission for you to link the Sites, including to link to the Site's home page.
Computer viruses can be transmitted via email. The recipient should check any emails received by CEP and its representatives and any attachments for the presence of viruses. CEP and the CEP Representatives (as defined below) accept no liability for any damage caused by any virus transmitted by email sent by CEP or CEP authorized representatives.
The security or correctness of e-mail transmission cannot be guaranteed as information could be intercepted, corrupted, lost, destroyed, arrive late or incomplete, or contain viruses. CEP and the CEP Representatives therefore do not accept liability for any errors or omissions in the contents of e-mail messages or such security breaches, which arise as a result of e-mail transmission.
Emails sent by CEP and the CEP authorized representatives and any files transmitted with it are confidential and may contain information that is privileged and/or exempt from disclosure, and they are intended solely for the use of the named addressee. Please notify the sender immediately by e-mail if you receive e-mail by mistake and delete the e-mail from your system. If you are not the intended recipient you are notified that disclosing, copying, distributing or taking any action in reliance on the contents of the information contained in the e-mail is strictly prohibited.
CEP provides the Sites and the Information on an "as is", "as-available" and "without any liability" basis. CEP disclaims all representations, warranties, and conditions, express or implied, regarding the Information as provided on the Sites and does not warrant that the Sites, its servers, and any communications from CEP are free of viruses or other harmful components. You expressly agree that your use of the Sites is at your sole risk.
By using the Sites, you acknowledge and agree to the Terms and that CEP and its affiliates and related entities, and their respective shareholders, directors, officers, employees, agents and authorized representatives (collectively, the "CEP Representatives"), are not and will not be subject to any liability based on any errors or omissions in the Information, whether or not any of such persons knew or should have known of any such errors or omissions or were responsible for or participated in the inclusion or omission of information in the Sites. You further expressly understand and agree, including without limitation to the Terms, that CEP and CEP Representatives shall not be responsible or liable for any claims whatsoever including, without limitation, damages for loss of use, information, opportunities, data or profits; direct or indirect, special, incidental, exemplary, moral, consequential or punitive damages; or other intangible losses, related to, or arising from, directly or indirectly, arising in connection with the use of the Sites. In exchange for your access and use of the Sites, you agree to defend, indemnify and hold CEP Representatives harmless against any claims for damages or costs or any loss of any kind arising out of your direct or indirect use of the Sites.
In the event that any or any part of the terms and conditions contained in the Terms shall be determined to be invalid, unlawful or unenforceable to any extent and for any reason whatsoever, such term or condition shall, to that extent, be severed from the remaining terms and conditions, which shall continue to be valid and enforceable to the full extent permitted by law.
As visitors access the server for the Sites in the Province of Alberta, Canada, your use of the Sites and any downloads from it, and the operation of the Terms shall be governed by and interpreted in accordance with the laws of the Province of Alberta, Canada, and the laws of Canada applicable therein, excluding rules of private international law that lead to the application of the laws of any other jurisdiction. The courts of the Province of Alberta, Canada, shall have the exclusive jurisdiction over any dispute arising out of your use of the Sites. If you access the Sites from outside of Canada, you do so at your own risk and are responsible for compliance with local, national or international law, including without limitation securities laws and import and export laws.
